A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO A LEASE TERMINATION AND ASSET PURCHASE AGREEMENT WITH DESTINATION HUDSON, INC. FOR THE PURCHASE OF CERTAIN PHYSICAL ASSETS, RETAIL INVENTORY AND FURNITURE FROM THE VISITOR CENTER; AND DECLARING AN EMERGENCY.
Brief Description: As part of the termination of the Lease, DH desires and agrees to sell to City and City desires and agrees to purchase from DH, certain physical assets of DH, consisting exclusively of certain retail inventory and furniture from the Visitor Center and Gift Shop operated by DH.

Purpose & Explanation
The City of Hudson desires to assume operational control of the Hudson Visitor Center currently operated by Destination Hudson, Inc. The current lease agreement between the City and Destination Hudson for the Visitor Center premises is scheduled to terminate on April 30, 2025.
It is in the best interest of the City to acquire certain assets, including inventory, physical assets, furniture, and equipment, currently owned by Destination Hudson, Inc. and utilized in the operation of the Hudson Visitor Center. A purchase agreement will be executed between the City and Destination Hudson outlining the specific assets to be acquired.
The City Manager is authorized by City Council to expend an amount not to exceed Forty Thousand Dollars ($40,000.00) for the acquisition of the Visitor Center assets. The final purchase price shall be determined following a final inventory audit conducted by the City prior to the lease termination date of April 30, 2025. This audit will verify the quantity and condition of the assets as described in the agreement and shall apply the agreed upon per unit price to each item still in inventory.
